1. Agreement to These Terms

These Terms and Conditions (the "Terms") are a legal agreement between you and BrokerStop, LLC ("BrokerStop," "we," "our," or "us") and govern your access to and use of brokerstop.io and the related services, features, and tools we offer (collectively, the "Service"). Our Privacy Policy and the Authorized Agent Designation you execute are incorporated into and form part of these Terms.

By creating an account, executing the Authorized Agent Designation, using the Exposure Scanner, or otherwise accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Definitions

"You" and "your" mean the individual using the Service. "Authorized Agent Designation" means the document you execute appointing BrokerStop to act on your behalf. "Data brokers" means the data brokers, people-search operators, lead and sales databases, and outreach companies whose records the Service is designed to address. "Your Information" means the personal information you provide to us or authorize us to act upon.

3. Eligibility

You must be at least eighteen (18) years old and able to form a binding contract to use the Service. The Service is intended for business professionals acting on their own behalf. You may submit removal requests only for your own personal information. You may not use the Service to act on behalf of any other person unless you have entered into a separate enterprise or team agreement with BrokerStop.

4. Description of the Service

BrokerStop submits opt-out, deletion, and do-not-contact requests to a defined list of data brokers on your behalf as your authorized agent under applicable privacy law, including the California Consumer Privacy Act, as amended (the "CCPA"). The current list of covered brokers is available in your dashboard. The Service also includes a free Exposure Scanner, described in Section 7.

We may add, change, suspend, or discontinue features of the Service at any time. Where a change materially reduces the core functionality of a paid plan, we will provide reasonable notice.

5. Your Appointment of BrokerStop as Authorized Agent

When you execute the Authorized Agent Designation, you appoint BrokerStop as your authorized agent for the limited purpose of submitting opt-out, deletion, do-not-contact, and similar privacy requests to data brokers, and of receiving and tracking responses to those requests. You authorize us to transmit Your Information and a copy of the Authorized Agent Designation to those brokers as part of each request, because that disclosure is intrinsic to the request itself.

You represent that all information you submit is your own and that you have the right to authorize us to act upon it. Data brokers may impose their own identity-verification steps and may decline, delay, or condition a request regardless of the authorization you have given us. You may revoke this designation at any time by closing your account or by emailing privacy@brokerstop.io. Revocation does not affect requests already submitted.

6. No Guarantee of Removal

We submit requests on your behalf in good faith and resubmit when records are re-listed. Individual data brokers may decline, delay, require additional verification, or fail to comply, and a broker may re-add your information after removal. BrokerStop is not responsible for a broker's failure or refusal to honor a request. We do not and cannot guarantee that Your Information will be removed from any specific broker or from the internet generally.

7. The Exposure Scanner

The Exposure Scanner is a free, informational tool that gives you a preliminary view of where your information may appear. You enter a telephone number, we verify that you control it by sending a one-time code, and we generate a report using data from a third-party identity-data provider. The report is displayed in your browser for that session and is not retained on our servers.

The report is a probabilistic indication of potential exposure based on third-party data. It may be incomplete or inaccurate and is provided "as is." The Exposure Scanner is not a consumer report, and you agree not to use it or any output from it for any purpose covered by the Fair Credit Reporting Act, including decisions about credit, employment, insurance, housing, or tenant screening. You represent that any telephone number you submit is one you own or are authorized to verify.

8. Account Registration and Security

You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account. Notify us promptly at privacy@brokerstop.io of any unauthorized use or suspected breach of your account.

9. Subscription, Billing, and Cancellation

BrokerStop Shield is offered as a monthly plan at $10 per month or an annual plan at $96 per year, displayed as $8 per month billed annually, plus applicable taxes. Subscriptions renew automatically at the then-current rate at the end of each billing period until canceled. Payment is processed by our third-party payment processor; by subscribing, you authorize recurring charges to your designated payment method.

You may cancel at any time through your account settings or by emailing privacy@brokerstop.io. Cancellation takes effect at the end of the current billing period, and you retain access until then. Except where required by law, charges are non-refundable and we do not issue refunds or credits for partial billing periods or unused time. We may change prices on a going-forward basis with reasonable notice, and continued use after a price change takes effect constitutes acceptance of the new price.

10. Account Deletion

You may request deletion of your account at any time through account settings. Upon deletion, your customer record and associated data will be deleted or de-identified within thirty (30) days in accordance with our Privacy Policy, except where retention is required by law or to complete pending transactions. Canceling your subscription does not by itself delete your account.

11. Acceptable Use

You agree not to: submit false, misleading, or fraudulent removal requests; impersonate another person or submit requests for information that is not your own; use the Service in violation of any applicable law; interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure; use any automated means such as scrapers or bots to access the Service except as we expressly permit; or reverse engineer, decompile, or attempt to derive the source code of the Service. We may suspend or terminate access for conduct that violates these Terms.

12. Intellectual Property and Feedback

The Service and all associated software, content, and trademarks are owned by or licensed to BrokerStop and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own personal use in accordance with these Terms. You acquire no ownership rights in the Service.

If you send us suggestions, ideas, or other feedback ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback without restriction or compensation to you. Feedback is not your confidential information.

13. Third-Party Services

The Service relies on and may link to third-party services, including our payment processor, email provider, telephony verification provider, identity-data provider, and the data brokers themselves. Those parties operate under their own terms and policies, and we are not responsible for their acts, omissions, content, or practices.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT ANY DATA WILL BE ACCURATE, OR THAT ANY SPECIFIC REMOVAL OR EXPOSURE-SCAN OUTCOME WILL BE ACHIEVED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BROKERSTOP AND ITS OWNERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST DATA, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE TOTAL AMOUNT YOU PAID TO BROKERSTOP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16. Indemnification

You agree to indemnify, defend, and hold harmless BrokerStop and its owners, employees, and service providers from and against any claims, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your breach of these Terms, your submission of information that is not your own, or your provision of a telephone number that you do not own or are not authorized to verify, including any claim under the Telephone Consumer Protection Act or any state-law equivalent.

17. Communications and Text Messages

By providing your email address and using the Service, you agree to receive transactional and Service-related communications from us, including messages about your account, removal status, billing, and security. These communications are part of the Service and are not promotional.

By entering a telephone number into the Exposure Scanner or as account contact information, you confirm that you are the owner or authorized user of that number and consent to receive a one-time verification code by text message for the limited purpose of confirming ownership. Message and data rates may apply. We do not send marketing or promotional text messages. If we introduce any such program, we will obtain your prior express written consent and provide a method to opt out.

18. Term and Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your access at any time if you breach these Terms or to protect the Service or other users. You may stop using the Service at any time and may cancel or delete your account as described above. Sections that by their nature should survive termination, including Sections 12, 14, 15, 16, and 19 through 21, will survive.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of [State], without regard to its conflict-of-law principles. Before filing any claim, you and BrokerStop agree to first attempt to resolve the dispute informally by written notice to privacy@brokerstop.io and to negotiate in good faith for at least thirty (30) days. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in [County, State], and you consent to the personal jurisdiction of those courts.

20. Limitation Period

To the extent permitted by law, any claim arising out of or related to the Service or these Terms must be filed within one (1) year after the claim arose, or it will be permanently barred.

21. General

These Terms, together with the Privacy Policy and the Authorized Agent Designation, are the entire agreement between you and BrokerStop regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We may update these Terms from time to time and will notify you by email at least thirty (30) days before material changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
